1. Introduction

Welcome to Spendently ("the Service", "we", "us"). By accessing or using Spendently at spendently.com, you ("User", "you") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

Spendently is a personal finance tracking tool designed to help individuals manage their expenses, accounts, and multi-currency transactions. It is not a bank, financial institution, investment adviser, or payment service provider.

2. Eligibility

You must be at least 18 years old to use Spendently. By creating an account, you represent that you are of legal age and have the legal capacity to enter into a binding agreement.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised access or security breach at [email protected].

You may not share your account with others or create accounts for third parties without their explicit consent.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Upload or transmit any malicious code, viruses, or harmful data.
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service.
• Scrape, crawl, or collect data from the Service using automated means without written permission.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

5. Your Data

You retain full ownership of all financial data, transactions, accounts, and other information you enter into Spendently. We do not sell, rent, or share your personal financial data with third parties for marketing purposes.

By using the Service, you grant us a limited, non-exclusive licence to store and process your data solely for the purpose of providing the Service to you. For full details, see our Privacy Policy.

6. No Financial Advice & Exchange Rate Disclaimer

Spendently is a personal record-keeping tool only. Nothing on the Service constitutes financial, investment, tax, legal, or accounting advice. You should consult a qualified professional before making any financial decisions.

Currency exchange rates are updated once per day from a third-party data provider (Frankfurter API). Rates displayed in the Service are therefore indicative only and reflect the previous day's closing or mid-market rate. They are not real-time rates and will differ — sometimes significantly — from the rates applied by banks, payment providers, or currency exchanges at the moment of any actual financial transaction.

All converted amounts shown in Spendently are estimates for personal tracking purposes only. They must not be relied upon for actual currency conversions, international transfers, investment decisions, tax filings, legal proceedings, or any other purpose requiring precise exchange rate data.

Spendently and its operator accept no liability whatsoever for any financial loss, discrepancy, or damage — whether direct, indirect, or consequential — arising from any difference between the exchange rates displayed in the Service and the rates actually applied in any real-world financial transaction.

7. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to scheduled maintenance, unexpected outages, or factors outside our control. We are not liable for any losses arising from service downtime or data inaccessibility.

8. Intellectual Property

All content, design, code, and materials comprising the Service (excluding your personal data) are the intellectual property of Spendently and its operator. You may not copy, reproduce, distribute, or create derivative works without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Spendently and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim (or, if the Service was free, zero).

10. Account Termination

You may close your account at any time by contacting us at [email protected]. Upon closure, your data will be deleted within 30 days, except where we are required by law to retain it for a longer period.

We reserve the right to suspend or terminate your account without notice if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice in the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts.

Note: Governing law jurisdiction will be specified once the operating entity is formally registered.

13. Receipt Auto-Parsing (OCR Scanning)

Spendently offers an optional receipt auto-parsing feature ("OCR Scanning") that uses optical character recognition to extract data from uploaded receipt images or PDF files. This feature must be explicitly enabled by the user in Settings before it will activate.

When OCR Scanning is enabled, uploaded receipt files are transmitted to Google Cloud Vision or OpenAI, depending on which parser you choose, for text extraction. By enabling this feature, you acknowledge and agree that:

• Your receipt images or PDF files will be sent to Google Cloud Vision (operated by Google LLC) or OpenAI (operated by OpenAI OpCo, LLC), depending on which parser you choose, solely for the purpose of text extraction.
• Extracted data is used only to pre-fill the transaction form. Nothing is written to your account automatically — you review and confirm all values before saving.
• OCR results are not guaranteed to be accurate. Extracted values — including amounts, dates, merchant names, and line items — may be incorrect, incomplete, or missing. You are solely responsible for verifying all pre-filled data before saving a transaction.
• Receipt images may contain personal or financial information. You accept responsibility for any data contained in files you choose to upload for OCR processing.
• The processing of data transmitted to Google Cloud Vision or OpenAI is subject to that provider's own Privacy Policy and Terms of Service. Spendently is not responsible for either provider's data handling practices.
• You may disable OCR Scanning at any time from Settings. Disabling the feature stops all future file transmissions to Google Cloud Vision or OpenAI; it does not delete previously transmitted data from either provider's systems.

Spendently accepts no liability for errors, omissions, or financial loss arising from incorrect OCR output. The feature is provided on an "as-is" basis with no accuracy guarantee.
